Customer Referral Program Rules

These CommentSold Referral Program Rules (“Program Rules”) govern your participation in the CommentSold Referral Program. The Program Rules are in addition to any agreements between you and CommentSold, including the CommentSold Merchant Agreement (collectively, the “CommentSold Terms”).   

Program Overview 

The CommentSold Referral Program (“Referral Program”) is offered by CommentSold, LLC (“CommentSold”) and provides active CommentSold merchants in good standing (“Referrers”) the opportunity to refer new first-time merchants who sign up for the CommentSold service and receive credit when their referred merchants meet the minimum sales requirements set forth in these Program Rules. These Program Rules apply to both Referrers and referred merchants (each a “Referred Merchant”), so please read carefully to understand your respective rights and obligations. In order to qualify as a Referrer in good standing, you must be in full compliance with the CommentSold Terms at all times. 

Referrer Eligibility 

To be eligible to participate in the Referral Program as a Referrer, you must (a) meet the merchant eligibility requirements in the CommentSold Terms; (b) have a current CommentSold account in good standing; (c) be currently enrolled in a CommentSold subscription service; (d) refer a valid new, first-time merchant who signs up for the CommentSold service; and (e) such valid Referred Merchant meets the monthly gross sales transaction volume (monthly sales) thresholds set forth in these Program Rules. If you violate the Program Rules, the CommentSold Terms of Service or any other applicable terms, CommentSold may suspend or terminate your ability to participate in the Referral Program under any or all of your accounts, and you will immediately lose all referral payments and benefits, past, present or future.  

Referral Registration 

The sole means of registering for the Referral Program is by visiting our Program Page, completing all of the information in the form and be accepted into the program by us, in our sole discretion. If you are not a current CommentSold customer in good standing, your enrollment will be null and void. CommentSold reserves the right in its sole discretion to reject or accept applicants into the Referral Program, for any reason whatsoever. 

How to Refer New Users 

To invite eligible merchants to become new CommentSold merchants, you must visit our Referral Page and accurately enter all of the information required. Partial entries will not qualify as valid Referred Merchants. The Referral Page is the sole means by which to enter a referral. Your invitee will not be eligible to become a Referred Merchant if: (i) the merchant, or individual(s) representing the merchant, had already been associated with a record or records in CommentSold’s database(s); (ii) CommentSold received the referral information from another source prior to your entry of the information on our Referral Page; (iii) CommentSold had the merchant’s information, or the information of the person(s) representing the merchant, prior to your entries on the Referral Page; (iv) the merchant, or individual(s) representing the merchant, signed up for the CommentSold services prior to our receipt of information from you on the Referral Page. If you do not enter the information properly on the Referral Page, you will not receive attribution for the referral and they will not be considered your Referred Merchant.  

Referral Rewards 

     1. General Eligibility 

In order for you to be eligible for a Referral Reward (defined below), the merchant you are referring must meet the following reward criteria (“Reward Criteria”): the merchant (or person representing the merchant) (i) must have never previously created a CommentSold account or used the CommentSold service; (ii) must sign up for a paid CommentSold subscription after you entered the merchant’s information via the Referral Page; and (iii) must thereafter meet one or both of the gross sales transaction volume thresholds explained below. Only if these conditions are met, will the merchant be considered a valid referral. 

The Reward Criteria are set by CommentSold in its sole discretion and are subject to change at any time. CommentSold, in its sole discretion, may make available certain promotions, referral rewards or Program Rules with different criteria or rewards to other merchants or prospective merchants at any time. 

     2. Referral Rewards  

Only Referrers with active accounts in good standing are eligible for the referral rewards (“Referral Rewards”) set forth herein. There are no Referral Rewards issued to Referred Merchants for signing up, meaning only Referrers receive Referral Rewards. The following Referral Rewards are the sole and exclusive benefits offered by CommentSold under its Referral Program, which we reserve the right to update at any time: 

A one-time gift card payment of $100 if your Referred Merchant reaches an average of $2,500 per month in gross sales transaction volume on the CommentSold platform in any three consecutive month period (e.g., a minimum of $7,500 total gross sales transaction volume over three consecutive months) within 12 months of your referral through the CommentSold Referral Page; 

A one-time gift card payment of $200 if your Referred Merchant reaches an average of $5,000 per month in gross sales transaction volume on the CommentSold platform in any three consecutive month period (e.g., a minimum of $15,000 total gross sales transaction volume over three consecutive months) within 12 months of your referral through the CommentSold Referral Page; 

A one-time gift card payment of $500 if your Referred Merchant reaches an average of $25,000 per month in gross sales transaction volume on the CommentSold platform in any three consecutive month period (e.g., a minimum of $75,000 total gross sales transaction volume over three consecutive months) within 12 months of your referral through the CommentSold Referral Page; 

Note: The above thresholds represent the exclusive circumstances under which CommentSold will compensate you as a Referrer under our Referral Program. No partial Referral Rewards shall be issued for Referred Merchants who do not meet the exact minimum gross sales transaction criteria set forth above.  

      3. Maximum Referral Reward  

The maximum Referral Reward for a single Referred Merchant you refer is $800 per the terms of this Referral Program. Once a Referral Reward is paid for one of the three thresholds above, you no longer qualify to receive a Referral Reward for such Referred Merchant again for achieving such threshold, regardless of whether the Referred Merchant continues to meet the gross sales transaction volume threshold. 

     4. Resolving Disputes over Referrals 

Only one person can earn a Referral Reward per each Referred Merchant. In the event that multiple persons claim credit for a particular referral, CommentSold has full discretion to determine which person earned such referral according to CommentSold’s records. 

     5. Reservation of rights 

CommentSold reserves the right to withhold or deduct Referral Rewards obtained through the Referral Program in the event that CommentSold determines or believes that the receipt of the Referral Reward was in error, fraudulent, illegal, or in violation of these Program Rules or any other applicable agreement between you and CommentSold. 

     6. Taxes 

You are solely responsible for the payment of any and all taxes related to your Referral Rewards, and agree to indemnify us in the event of any charges or liability resulting from tax obligations, payments, claims or fines related to your Referral Rewards.
